These Terms of Service govern your use of the website and professional services provided by For The Love of Bookkeepers LLC (“FTLOBs,” “we,” or “us”). By submitting an intake, signing any agreement, granting access, or engaging services, you agree to these Terms.

Services Offered

FTLOBs provides diagnostic-first, project-based professional services related to QuickBooks Online files, including diagnostic reviews, cleanup, reconstruction, and limited transition oversight.

FTLOBs does not provide recurring monthly bookkeeping, routine data entry, ongoing accounting support, payroll processing, tax preparation, or assurance services.

Diagnostic Services – The Complete Check

The Complete Check is a findings-only diagnostic review used to evaluate the structure, configuration, workflows, historical behavior, and observed patterns within a QuickBooks Online file at the time access is granted.

Diagnostic services:

  • Do not include cleanup, corrections, reconciliations, or implementation
  • Do not modify balances or transactions
  • Do not include financial reporting, filings, or submissions
  • Are used solely to determine scope, feasibility, risk factors, and next steps

Any cleanup, reconstruction, or additional services require a separate written proposal.

Cleanup and Reconstruction Services

Cleanup and reconstruction services are project-based engagements that may include, but are not limited to:

  • Historical transaction reconstruction
  • Asset and liability recreation
  • Balance sheet reconstruction
  • Net working capital calculations
  • Amortization schedules
  • Intercompany clearing, structuring, and reclassification
  • Structural remediation across integrated systems

These services involve professional judgment, estimates, assumptions, and reliance on available documentation. Results represent a reasoned reconstruction based on information available at the time of work and do not constitute certification, verification, or assurance of completeness, accuracy, or future reliability.

Temporary Transition Services (Limited Scope)

In limited circumstances and at FTLOBs’ sole discretion, FTLOBs may offer temporary transition services following completion of a cleanup or reconstruction project.

Transition services are intended solely to stabilize operations and protect the rebuilt system while a permanent bookkeeper, controller, or CPA is identified and onboarded.

Transition services:

  • Are strictly time-limited to a maximum duration of three (3) months
  • Are governed by a separate written agreement or addendum
  • Are billed as a monthly retainer at a rate determined by FTLOBs
  • Do not constitute recurring bookkeeping or ongoing monthly services
  • Automatically terminate upon expiration of the transition period or onboarding of a replacement, whichever occurs first

FTLOBs’ responsibility ends at the conclusion of the transition period. Continued services beyond this period require a new written agreement and are not implied.

No Training, SOPs, or Personnel Responsibility

FTLOBs does not provide staff training, instruction, onboarding, education, written procedures, standard operating procedures (SOPs), or operational documentation as part of diagnostic, cleanup, reconstruction, or transition services.

During any temporary transition period, FTLOBs’ involvement is limited to oversight of system integrity and correction of work impacting the rebuilt structure. Oversight does not constitute training, supervision, performance management, or endorsement of client personnel.

FTLOBs is not responsible for the hiring, selection, competence, performance, supervision, or actions of any bookkeeper, employee, contractor, or advisor engaged by the client. Prior familiarity with a client’s systems does not imply responsibility for personnel outcomes.

Creation of SOPs or operational documentation is offered only as a separate engagement, governed by a separate written agreement with independently determined scope, pricing, and timelines.

Intellectual Property and Work Product

While the Client retains ownership of their underlying business and financial data, the diagnostic logic, analytical frameworks, findings-report structure, and reconstruction approach used by FTLOBs are proprietary to FTLOBs.

Deliverables are provided for the Client’s internal business use only. The Client agrees not to redistribute, resell, or use FTLOBs’ work product to train third parties or to replicate FTLOBs’ diagnostic process without express written consent.

Scope Control

Scope is strictly limited to the services defined in the applicable written proposal, agreement, or addendum. Any work outside the defined scope requires a separate written agreement and may require repricing or rescheduling.

FTLOBs’ responsibility ends upon completion of the defined scope of work. Any changes made to the QuickBooks Online file by the client, client personnel, or third parties after that point are outside FTLOBs’ responsibility unless expressly agreed to in writing.

File Integrity and Stop-Work Authority

To maintain the integrity of the diagnostic and reconstruction process, the Client agrees to limit activity within the QuickBooks Online file during the active service window.

If the Client, Client personnel, or a third party modifies, adds, or deletes data within the file during an active engagement without prior written coordination and approval from FTLOBs, FTLOBs reserves the right to suspend work, re-price the engagement, or adjust the project timeline.

Access Requirements

Accountant-level access to QuickBooks Online and timely access to supporting documentation are required. Limited, delayed, revoked, or incomplete access may impact timelines, outcomes, or feasibility and does not entitle the client to refunds or credits.

Payment Terms

All fees are due in advance of work. Diagnostic fees are non-refundable once Accountant access is granted and review has begun.

Cleanup and reconstruction projects are billed under one of the following structures:

  • Standard Project Model: 50 percent non-refundable deposit prior to commencement, remaining balance due upon completion
  • Extended-Timeline Model: 25 percent non-refundable deposit with remaining balance billed in scheduled monthly installments, offered only at FTLOBs’ discretion

Failure to make any scheduled payment may result in immediate suspension of work.

Project Scheduling and Timeline Authority

Projects are scheduled based on FTLOBs’ availability, capacity, and internal sequencing. All timelines are estimates only and are set by FTLOBs.

Client availability and responsiveness during the scheduled project window are required. Delays caused by client unavailability, missing documentation, or incomplete responses do not constitute grounds for refunds, credits, or pricing adjustments.

Client Responsiveness and Abandonment

If a client fails to respond, provide access, or otherwise participate for thirty (30) consecutive days after payment, the project may be deemed abandoned. Abandoned projects are not eligible for refunds, credits, or reinstatement. Fees paid are forfeited.

Third-Party Data and Interference

FTLOBs is not responsible for inaccuracies, outages, limitations, or errors originating from third-party systems, integrations, financial institutions, payroll platforms, client personnel, or client-provided data.

Client-Decision Indemnification

To the fullest extent permitted by law, the Client agrees to indemnify and hold harmless FTLOBs from claims, damages, losses, or legal expenses arising from the Client’s use of findings, decisions based on reconstructions, or errors in source data, excluding proven gross negligence or willful misconduct by FTLOBs.

Limitation of Liability

To the fullest extent permitted by law, FTLOBs shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to the use of its website or services.

Eligibility

Services are offered only to business owners or authorized representatives who are at least 18 years of age.

Governing Law

These Terms are governed by the laws of the State of Washington. Venue for any dispute shall lie exclusively in Washington State.
